EDPR informs about notification of increase of qualified shareholding of EDP
Madrid April 16th, 2021: EDP Renováveis, S.A. (“EDPR”) discloses the following information to the market:
a) EDP - Energias de Portugal S.A. (“EDP”) notified EDPR that, in accordance with the provisions of Article 23 of Royal Decree 1362/2007, on April 16th 2021, it increased, on a fully diluted basis, its qualifying holding in EDPR from 72.44% of the respective share capital and voting rights, to 74.98% of the respective share capital and voting rights;
b) This increase in EDP’s qualified shareholding in EDPR is the result of the return of 88,250,000 EDPR shares (“Borrowed Shares”) to EDP by Citigroup Global Markets Europe AG (“Citi”) and Morgan Stanley Europe SE (“Morgan Stanley”, jointly with Citi hereinafter referred to as the “Banks”), following a loan of the Borrowed Shares executed on March 5th 2021, by EDP to the Banks for the purpose of the accelerated bookbuilding process launched on March 2nd, 2021, and concluded on March 3rd 2021, as previously communicated to the market by EDPR;
c) Thus, EDP received back the Borrowed Shares from the Banks, which now represent (on a fully diluted basis) approximately 9.19% of EDPR’s share capital and voting rights, following the share capital increase of EDPR approved at the General Shareholders Meeting of EDPR on April 12th 2021.
