Madrid, February 27th 2019: EDP Renováveis, S.A. ("EDPR") informs that:



Following the proposals submitted by the Nominations and Remunerations Committee, the following resolutions were agreed in the meeting of the Board of Directors of EDPR held yesterday February 26th:





In order to fill vacancies in EDPR Board of Directors, it was approved:



i. The appointment by co-option of Spyridon Martinis as member of EDPR Board of Directors. The ratification of this appointment will be proposed to the next General Shareholders’ Meeting.



Likewise, it was also agreed the appointment of this Director as member of EDPR Executive Committee, and as Joint Director (“Administrador Mancomunado”).



Given such resolutions, EDPR Executive Committee is now composed by the following members, who are also Joint Directors:



- João Manso Neto (Chairman)

- Duarte Melo de Castro Bello

- Miguel Angel Prado Balboa

- Spyridon Martinis



ii. The appointment by co-option of Vera de Morais Pinto Pereira Carneiro as member of EDPR Board of Directors. The ratification of this appointment will be proposed to the next General Shareholders’ Meeting.





In line with the applicable Corporate Governance recommendations, the independent members of the Board of Directors approved the appointment of António Nogueira Leite as Lead Independent Director.
